Terms of Service
Effective: 16 June 2026Introduction and Acceptance
These Terms and Conditions ("Terms") govern your access to and use of the services provided by Infrahaus AI Ltd ("Provider", "we", "us", "our"), a company registered in England and Wales with company number 17249836 and registered office at 167-169 Great Portland Street, London, England, W1W 5PF. The Services include the Exator platform (private beta) and any other web-based applications, tools, AI features, APIs, or intelligence platforms for energy infrastructure development (collectively, the "Service").
By registering for an account, accessing the Service, or clicking "I Accept" (or similar), you ("Customer", "you", "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
Please note:
- We reserve the right to modify these Terms. Continued use after changes constitutes acceptance. We will notify material changes via email or in-app notice.
- AI-generated outputs are for informational purposes only and must be independently verified before being relied upon for investment, planning, or infrastructure decisions.
- Please read our Privacy Policy, which describes how we collect, use, and disclose personal information. Although it does not form part of these Terms, it is an important document you should read.
Definitions
Authorised Users means your employees, contractors, or agents authorised to use the Service.
Customer Data means any data, inputs, project details, or materials you or your Authorised Users upload, submit, or generate via the Service.
Documentation means user guides, help materials, and specifications we make available.
Fees means the subscription or usage fees set out in the applicable Order Form or pricing page.
Order Form means any ordering document, quote, or signup flow specifying Service details, Fees, term, and limits.
Output means any content, analysis, report, score, or other result generated by the Service in response to Customer Data or Input.
Subscription Term means the initial term and any renewals specified in the Order Form.
Provision of the Service
Accounts and Authorised Users
Account security. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must keep your account information accurate and notify us promptly of any unauthorised access.
Authorised Users. Authorised Users must comply with these Terms and you remain responsible and liable for their actions when using the Service.
Restrictions and Acceptable Use
What you cannot do. You shall not, and shall ensure Authorised Users do not:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying AI models or algorithms of the Service (except as permitted by applicable law).
- Use the Service to build a competing product or service, or for benchmarking against a competing product.
- Use the Service or any Output to develop, train, or improve any competing AI model, product, or service.
- Copy, modify, distribute, or commercially exploit the Service or Outputs beyond the permitted use in these Terms.
- Upload unlawful, harmful, infringing, or offensive content.
- Scrape, bulk-export, or misuse data in violation of applicable laws or third-party rights.
- Attempt to gain unauthorised access to or interfere with the Service or its infrastructure.
Acceptable Use Policy. You must also comply with our Acceptable Use Policy (as published on our website), which is incorporated into these Terms by reference.
Who is prohibited from using the Service. Competitors of Infrahaus AI are prohibited from accessing the Service without our prior written consent. We reserve the right to decline access to or terminate the account of any user at our sole discretion.
Fees and Payment
Payment. Fees are as stated at signup or in the applicable Order Form. Unless otherwise required by law, payments are non-refundable. Late payments may incur interest and may result in suspension of access.
Fee changes. We may increase Fees on renewal with reasonable prior notice. All Fees are exclusive of VAT or any other applicable taxes, which shall be payable by you in addition.
Intellectual Property
AI output accuracy. You acknowledge that AI-generated Outputs may contain errors, hallucinations, or inaccurate information. You are solely responsible for evaluating the accuracy, completeness, and suitability of any Output. The Service is not a substitute for professional advice. You must perform your own independent verification before relying on any Output for energy infrastructure, planning, permitting, or investment decisions.
Customer Data and Data Protection
Confidentiality
Each party will keep the other's Confidential Information secure using at least the same degree of care it uses to protect its own confidential information (and no less than reasonable care), and will use it only for the purposes of performing obligations or exercising rights under these Terms.
Exceptions apply where disclosure is required by law, regulation, or court order, or where information is or becomes publicly available through no fault of the receiving party.
Warranties and Disclaimers
Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total aggregate liability under or in connection with these Terms shall not exceed the Fees paid by you in the twelve (12) months immediately preceding the claim.
- We shall not be liable for any indirect, consequential, incidental, or special losses, including but not limited to loss of profits, loss of data, business interruption, or project delays, even if we have been advised of the possibility of such losses.
- Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
Indemnity
You agree to indemnify, defend, and hold harmless Infrahaus AI Ltd and its directors, officers, and employees from and against any claims, liabilities, damages, and costs (including reasonable legal fees) arising from: (i) your Customer Data; (ii) your misuse of the Service; or (iii) your breach of these Terms.
Termination
Governing Law and Disputes
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
General Provisions
Entire Agreement. These Terms, together with any applicable Order Form, DPA, and Privacy Policy, constitute the entire agreement between the parties with respect to the Service and supersede all prior agreements and understandings relating to the same subject matter.
Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remainder of these Terms shall continue in full force and effect.
No Waiver. Failure to enforce any provision of these Terms on any occasion does not constitute a waiver of the right to enforce it on another occasion.
Force Majeure. Neither party shall be liable for delay or failure to perform obligations to the extent caused by events beyond their reasonable control, including acts of God, government actions, or infrastructure failures.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms to an affiliate or successor entity without restriction.
